NAME

The name of this 501(c)3 Non Profit Corporation will be “Sea Rim Striders” hereafter referred to as

“The Corporation” or “The Organization”.

AFFILLIATION
-
This Corporation shall be a chapter of the Road Runners Club of America, and all measures adopted by that body, must be considered by this Corporation.

OBJECTIVE
-
The prime objective of the Organization shall be the promotion and encouragement of physical fitness, with emphasis on running and walking; including safety, public education, community involvement, and awareness of said benefits.

In furtherance of objective “A,” this Organization may hold championships, races on the road, track, off road, fun runs, lectures and/or other educational activities, demonstrations, Health and fitness fairs, expos, clinics, and social events; print and publish books, magazines, and newsletters; make awards; and do all such other things conducive to the encouragement of physical fitness.

Other objectives including, but not limited to, engaging in Community activities, to publicize by appropriate means, the benefits of physical fitness, and to coordinate with other agencies advocating running and walking as a means of physical fitness.

Must consist of a minimum of 3 non-related individuals in the offices of President, Secretary, and Treasurer.

Manage Finances

This organization shall open a bank account, pay all expenses and keep in good standing

This organization shall keep books, reports, and file returns based on the annual accounting period.

Annual Accounting Period

This organization will utilize a Calendar Tax year; January 1 – December 31

This Organization may hire a Certified Public Accountant Office.

This Organization may rent and/or purchase office and storage spaces.

Pass Measures
-
Ordinary measures may pass by simple majority by the Board Members. All measures shall be deemed ordinary, except those proposing a Constitutional or Bylaw amendment.
-
The Board is the governing authority and has majority oversight over the management of the Club’s affairs. It carries out all the objectives and purposes for which the club is organized. This general mandate includes, but not limited to, setting Club policy, procedures, forms, financial oversight, strategic planning, fundraising, legal oversight, determining and monitoring the Club’s programs and services, and elevating the Club’s public image.

MEMBERSHIP

All proposed changes must be discussed at a Board Meeting.

Notice to Members

Voting

All amendment changes shall be voted on at Membership meetings.

Policy and Procedure Amendments

Shall pass with majority vote.

Bylaw Amendments

Shall pass with at least 2/3 vote.

Constitution Amendments

Shall pass with at least ¾ votes.
-

Amendment changes shall be kept as written record and attached to the end of the document that was amended.

DISSOLUTION

Notification

Membership and Public must be given at least (60) days’ notice.

Notice may be given by any means for notification, including but not limited to email, phone, mail, website and social media.

Funds
-
Funds in the treasury shall go to the Road Runners Club of America or other established 501C (3) non-profit organizations, if the following have been satisfied

All creditors have been paid

Funds and equipment will be dispensed in a fair and equitable manner as determined by the remaining active Board members.

Changed from an Unincorporated Non Profit, to an Incorporated Non Profit.
Removed the word “Association” and replaced with either “Corporation” or “Organization” to reflect the Organization’s status change.
